Company formation in Estonia for non-residents
Company services in Estonia
FPRO helps residents and non-residents prepare the formation of an Estonian OÜ and choose an appropriate signing route. The process depends on the founders, digital identification and whether a notarial route is required.
Choose the formation route
Online with supported digital ID
All required signatories need an Estonian-supported digital identity. The application is signed and submitted through the e-Business Register.
Notarial or representation route
When online signing is unavailable, formation may require a notary, a power of attorney and translations. The exact route depends on the participants and documents.
What the process includes
- 1
Check the scenario
Confirm founders, management board, ownership, activity and the signing route.
- 2
Prepare the data
Choose the business name, legal address, contact person where required, activity and share structure.
- 3
Sign and submit
Sign the documents, pay the applicable state fee and submit the application through the selected route.
- 4
Set up ongoing obligations
After formation, arrange accounting, the annual report and assess VAT, tax and compliance duties for the actual business.

How FPRO can help
The current website offers assistance with registering a new company, consultations and ongoing business support. The scope for a particular client is agreed after the formation route and documents are reviewed.
Questions before formation
Does e-Residency make me an Estonian tax resident?
No. E-Residency is a digital identity; it is not citizenship, physical residence or automatic tax residence.
Can every company be formed fully online?
Not necessarily. All required signatories must have supported digital identification; otherwise a notarial or representation route may be needed.
Is an Estonian address required?
An OÜ needs a legal address. If the management board is outside Estonia and a foreign address is used, a licensed contact person in Estonia may be required.
Does registration guarantee a bank account?
No. Banks and payment providers make their own onboarding and compliance decisions.
